A clear technical contract is the blueprint for a successful partnership. We value precision in our legal frameworks as much as our code.
1. Engagement & Project Scope
Engagement with KemiDesign begins upon the binary acceptance of our digital proposal and the processing of the initiation technical fee. Project scope is strictly bound by the 'Narrative Architecture' document finalized during our discovery phase. Any deviations or 'Scope Creep' will be assessed at our standard technical hourly rate of $250 AUD.
2. Payment Architectures
Our project finance logic follows a 50/25/25 distribution: 50% initiation fee, 25% upon design hardening, and 25% final settlement prior to server deployment. Failure to meet payment milestones will trigger an automated 'Logic Halt' on all development and staging environments.
3. Intellectual Property (IP)
KemiDesign retains ownership of all underlying architectural primitives and custom frameworks. Upon final payment, the client is granted a perpetual, non-exclusive license to use the final digital asset. KemiDesign reserves the right to display the project in our portfolio as a demonstration of technical craftsmanship.
4. Liability & Zero-Ops Disclaimer
While we engineer for 99.99% uptime using 'Zero-Ops' primitives, KemiDesign is not liable for data loss or business interruption caused by upstream cloud providers (AWS, Vercel, Google). We do not provide warranties for project performance if the client modifies the source code without official KemiDesign oversight.
